M. Disclaimers
VendoPad provides business management tools and does not guarantee any particular business outcome, profit figure or result. Reports, analytics and insights are generated from the data you enter and should be reviewed before being relied upon.
N. Limitation of liability
LEGAL REVIEW — DRAFT: subject to Nigerian legal review and review of applicable cross-border requirements before publication.
The responsibilities and limits described in sections C, D, F, L and M apply here: VendoPad provides business-management tools, not financial or legal advice or guaranteed business results. Merchants remain responsible for the data they enter, the account access and transactions they authorise, and reconciliation of their records. These responsibilities do not remove VendoPad’s own obligations under applicable law.
VendoPad will take reasonable care in providing the service and reasonable steps to maintain availability, but does not promise 100% uptime or uninterrupted access, as explained in section L. Third-party services may have their own terms and may experience failures; this does not exclude VendoPad’s responsibility for its own acts, omissions or legal obligations.
Only to the extent permitted by applicable law, including Nigerian law and mandatory applicable law of other jurisdictions, VendoPad’s liability for indirect or consequential losses arising from use of, or inability to use, the service is limited. This limitation does not restrict direct statutory remedies or any right or remedy that cannot lawfully be excluded or limited.
Nothing in these Terms excludes or limits liability for fraud, gross negligence or wilful misconduct, or any mandatory liability or obligation under consumer-protection or data-protection and privacy law.
If a service problem affects your records or access, contact support using the details in section Q. We will review the issue and seek an appropriate remedy, which may include correction or restoration where feasible. Support handling does not replace or restrict any remedy available under applicable law.
Legal review TODO — contract entity: confirm the contracting legal entity, registered address and required disclosures before publication.
Legal review TODO — liability cap: no monetary cap is proposed in this draft. Obtain Nigerian legal advice and review of applicable cross-border requirements on whether any cap is appropriate and lawful before proposing one.
O. Governing law and jurisdiction
LEGAL REVIEW — DRAFT: subject to Nigerian legal review and review of applicable cross-border requirements before publication.
O.1 Governing law. These Terms are governed by the laws of the Federal Republic of Nigeria, subject to mandatory applicable law of other jurisdictions.
O.2 International users. International users may access the platform and are responsible for complying with the local business laws applicable to their activities. Nothing in these Terms removes mandatory consumer, privacy or data-protection rights applicable to those users. Access does not represent an assurance of compliance with all laws worldwide or availability of every service in every jurisdiction.
O.3 Complaints and optional mediation. Please contact us first, where practicable, so we can try to resolve a complaint or dispute through support at help@vendopad.com or WhatsApp +234 806 304 4102. This request does not require you to delay urgent relief, miss a legal deadline or complete support handling before exercising a legal right.
If both parties agree, they may attempt mediation. Mediation is optional and consensual; neither party is required to participate or accept a proposed settlement.
O.4 Courts and jurisdiction. A dispute that is not resolved may be brought before a competent Nigerian court, subject to nonwaivable jurisdiction rights under the laws of other jurisdictions, including any right to use another competent court or forum that cannot lawfully be excluded.
O.5 Regulatory and statutory remedies. Nothing in these Terms prevents a complaint to a regulator, consumer-protection or data-protection authority, or restricts statutory remedies or other rights that cannot lawfully be waived. Support handling and optional mediation do not replace those rights or remedies.
P. Changes to these Terms
These Terms may change as VendoPad develops. The “Last updated” date at the top of this page will show when they last changed.
